Terms and Conditions

These General Terms and Conditions establish the contractual framework governing the relationship between the Customer, whether an individual or a legal entity, and CODE CONTRACT S.L. (hereinafter, "Code Contract" or the "Company"), with its registered office at C/ Pérez Galdós 22, 48008 Bilbao, Vizcaya, Spain, and Tax Identification Number (N.I.F.) B95973996. Hereinafter, both entities shall be referred to jointly as the "Parties" and individually as a "Party".


This Agreement shall be entered into electronically, and evidence of its acceptance shall be digitally recorded in our systems and made available to the Customer for consultation. As additional confirmation, an email acknowledging the activation of our services will be sent.


1. Definitions

For the purposes of these General Terms and Conditions:


"Agreement" or "Contract" means these General Terms and Conditions, together with any annexes and any subsequent amendments.


"Platform" means the digital environment developed by Code Contract for document automation and the provision of related services, accessible through personalized user credentials.


"Services" means the set of solutions offered by Code Contract, including document automation, workflow management, electronic signature capabilities, secure storage, third-party integrations, artificial intelligence functionalities and technical support.


2. Purpose

The purpose of these General Terms and Conditions is to regulate the provision of the Software-as-a-Service (SaaS) solutions offered by Code Contract.


The Platform combines proprietary software applications with cloud infrastructure, enabling efficient and secure document management. The Customer is granted a non-exclusive, non-transferable and revocable right to access and use the Platform in accordance with these Terms.


3. Term and renewal

The contractual relationship shall commence upon acceptance of these Terms and shall remain in force for an initial period of one (1) year.


The Agreement shall automatically renew for successive one (1) year periods unless either Party notifies the other in writing of its intention not to renew at least two (2) months prior to the applicable renewal date.


4. Economic conditions

Code Contract offers various subscription plans tailored to the needs of its customers, the details of which are available on the Company's website.


Billing shall be carried out on a monthly basis, and payment may be made by credit or debit card or, subject to prior approval, by bank transfer.


Code Contract reserves the right to modify its pricing, provided that affected customers are notified in advance.

5. Data Protection and security

Code Contract complies with the General Data Protection Regulation (GDPR) and all applicable data protection legislation.


Appropriate technical and organizational measures are implemented to ensure the security, confidentiality and integrity of data, including encryption systems, access controls and incident response procedures.


Where Code Contract processes personal data on behalf of the Customer, it shall act as a Data Processor in accordance with applicable laws.


6. Service commitments

Code Contract undertakes to maintain a target monthly uptime of 99.9%.


Critical incidents shall receive priority attention with a target response time of four (4) business hours. Scheduled maintenance operations shall, whenever possible, be communicated to the Customer in advance.


Regular backups and continuous monitoring systems shall also be maintained to ensure the availability and reliability of the Platform.


7. Confidentiality and Intellectual Property

All information exchanged between the Parties in connection with the provision of the Services shall be treated as confidential and used exclusively for the purposes established in this Agreement.


Code Contract shall retain all intellectual and industrial property rights relating to the Platform, including software, methodologies, developments, trademarks and associated assets.


The Customer shall retain full ownership of its data, documents and custom configurations.


8. Technical support

Code Contract provides technical support from Monday to Friday, from 10:00 to 17:00 CET, through the integrated chat system and by email at [email protected].


Critical incidents affecting the essential operation of the service shall receive priority attention, with a target response time of four (4) business hours. Non-critical incidents shall receive an initial response within twenty-four (24) business hours.


Training services and advanced consulting are not included unless expressly contracted.


9. Use of Artificial Intelligence services

Certain functionalities of the Platform may rely on artificial intelligence technologies provided by third parties, including, but not limited to, OpenAI, Anthropic, Google and other equivalent technology providers.


Outputs generated by such systems are produced automatically and are intended solely as assistance. Such outputs may contain errors, omissions or inaccuracies.


The Customer acknowledges and agrees that any content generated through artificial intelligence tools must be reviewed and validated before being used for legal, financial, business or any other purposes.


Code Contract does not guarantee the accuracy, completeness or fitness for a particular purpose of the results obtained through artificial intelligence systems.


The availability of certain functionalities may depend on external providers, and therefore Code Contract shall not be liable for interruptions, limitations or incidents arising from such services.


10. Responsibilities of the parties

Code Contract shall be responsible for:

  • Maintaining the Platform in accordance with the agreed service levels.
  • Implementing appropriate security measures.
  • Performing regular backups.
  • Providing technical support.
  • Informing Customers of scheduled maintenance whenever possible.


The Customer shall be responsible for:

  • The legality and accuracy of the content stored or processed through the Platform.
  • Safeguarding access credentials.
  • Compliance with applicable laws and regulations.
  • Maintaining up-to-date contact and billing information.
  • Reporting any unauthorized access or security incidents.


Code Contract shall not be liable for:

  • Circumstances beyond its reasonable control.
  • Improper use of the Platform by the Customer.
  • The Customer's failure to comply with applicable laws.
  • Failures arising from connectivity issues or third-party services.
  • Errors, omissions or inaccuracies contained in outputs generated by artificial intelligence systems.


Under no circumstances shall Code Contract's aggregate liability exceed the amount effectively paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.

This limitation shall not apply in cases of willful misconduct or gross negligence.


11. Acceptable use

The Customer undertakes not to use the Platform:

  • For unlawful purposes.
  • To introduce malicious software or harmful content.
  • To infringe intellectual property rights.
  • To process data in violation of applicable laws.
  • To attempt unauthorized access to systems or networks.
  • To generate unlawful, fraudulent or harmful content through artificial intelligence functionalities.


Code Contract may suspend or terminate access to the Services in the event of a breach of these Terms.


12. Governing Law and Jurisdiction

These General Terms and Conditions shall be governed by and construed in accordance with the laws of Spain.


Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Courts of Bilbao, Spain, and the Parties expressly waive any other jurisdiction that may otherwise apply.


Before initiating legal proceedings, the Parties shall endeavor to resolve any dispute amicably. Initial complaints may be addressed to [email protected], and Code Contract undertakes to respond within a maximum period of fifteen (15) calendar days.
